1. Agreement
These Terms of Service ("Terms") govern your use of the website at ailocalpr.com and the services provided by AI Local PR, a trade name operated as a sole proprietorship based in San Francisco, California ("AI Local PR," "we," "us," or "our").
By accessing our website, using the GBP Grader tool, or engaging our services, you agree to these Terms. If you do not agree, please do not use our website or services.
2. Services
AI Local PR provides managed Google Business Profile optimization services including, but not limited to:
- Monthly GBP profile audits and health scoring
- Google Post drafting (up to 4 per month)
- Review response drafting in the client's voice
- Business description optimization
- Monthly performance reports
- Content approval queue — nothing is published without your explicit sign-off
The specific services, pricing, and any special terms applicable to your engagement are governed by the Client Service Agreement signed at onboarding, which supplements these Terms.
3. GBP Grader Tool
Our free GBP Grader tool at gbpoptimizer.tarnhelm.xyz uses the Google Places API to evaluate publicly available Google Business Profile data. By using the tool, you acknowledge that:
- Scores are generated automatically based on publicly available profile data and may not reflect all factors that influence Google search rankings
- Results are for informational purposes only and do not constitute a guarantee of performance
- We may store your score result and business name to improve our service
4. Client Responsibilities
To receive services, you agree to:
- Grant AI Local PR Manager-level access to your Google Business Profile via Google's OAuth flow
- Review and respond to the monthly content approval queue within 14 days
- Provide accurate business information and notify us of significant business changes
- Ensure all approved content complies with Google's Business Profile policies — you are solely responsible for content you approve
- Maintain your Google Business Profile account in good standing
5. Payment Terms
Services are billed monthly via Stripe. By providing payment information, you authorize recurring charges on your billing cycle date. Failed payments must be resolved within 5 business days. Accounts more than 10 days past due may be suspended until payment is received.
No refunds are issued for the current billing month upon cancellation. Setup fees are not charged.
6. Cancellation
You may cancel your service at any time with 30 days written notice to contact@ailocalpr.com. Upon cancellation, we will cease all activity on your Google Business Profile and, upon request, assist with revoking our access credentials. You remain responsible for any outstanding fees through the end of your final billing period.
We reserve the right to terminate services with 30 days notice, or immediately for cause including non-payment, violation of Google's Business Profile policies, or abusive conduct.
7. No Guarantee of Results
AI Local PR provides professional optimization services based on current best practices. We cannot and do not guarantee specific outcomes including, without limitation:
- Search rankings or position in Google Maps or Google Search
- Lead volume, call volume, or revenue changes
- Approval of any content by Google
Google's search algorithms change frequently and are outside our control. Our commitment is to deliver consistent, high-quality monthly work in accordance with current best practices.
8. Content Standards
We operate under strict content standards. We will never:
- Keyword-stuff your profile or posts
- Engage in review gating or solicit fake reviews
- Publish AI-generated images to your profile
- Publish any content without your explicit approval
- Violate Google's Business Profile policies on your behalf
You agree not to request that we engage in any of the above practices. We reserve the right to decline any content request that violates Google's policies or our ethical standards.
9. Google API Services
Our services use the Google Places API and Google Business Profile API. Your use of our service is also subject to Google's Terms of Service. We are not affiliated with or endorsed by Google LLC.
10. Intellectual Property
All content on ailocalpr.com — including text, design, code, and branding — is the property of AI Local PR and may not be copied, reproduced, or distributed without written permission. Content we draft on your behalf for your Google Business Profile becomes your property upon your approval and publication.
11. Limitation of Liability
To the maximum extent permitted by law, AI Local PR's total liability for any claim arising from these Terms or our services shall not exceed the fees paid by you in the three months preceding the claim. We are not liable for indirect, incidental, consequential, or punitive damages, including lost profits or business opportunities.
You acknowledge that all published content was approved by you, and you assume full responsibility for approved content.
12. Indemnification
You agree to indemnify and hold harmless AI Local PR from any claims, damages, or expenses (including reasonable attorneys' fees) arising from your use of our services, your violation of these Terms, or content you approved for publication.
13. Confidentiality
We will not share, sell, or disclose your business information, login credentials, or profile data to any third party except as described in our Privacy Policy or as required to deliver services. We treat all client business information as confidential.
14. Governing Law
These Terms are governed by the laws of the State of New Mexico, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved in the courts of New Mexico.
15. Changes to These Terms
We may update these Terms from time to time. We will notify active clients of material changes via email at least 14 days before they take effect. Continued use of our services after that date constitutes acceptance of the updated Terms.
